If you use the EProcure AI product under a separate agreement with your organization, that agreement controls for product use.

Acceptance of terms

By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy. If you do not agree, do not use the Site.

Eligibility

The Site is intended for business users. You represent that you are at least the age of majority in your jurisdiction and have authority to enter into these Terms on behalf of yourself or the organization you represent.

Permitted use

You agree to use the Site only in compliance with applicable law.

• No attempt to disrupt, overload, or circumvent security.
• No automated scraping, harvesting, or bulk extraction of content without our prior written consent.
• No use of the Site to transmit malware, spam, or misleading or unlawful content.
• No impersonation of EProcure AI, our staff, or another person or entity.

Intellectual property

The Site, including text, graphics, logos, and layout, is owned by EProcure AI or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and view the Site for your internal business purposes. No other rights are granted.

Third-party links

The Site may link to third-party websites or services. We are not responsible for their content or practices. Your use of third-party sites is at your own risk and subject to their terms and policies.

Disclaimer

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EPROCURE AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF THE SITE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US DIRECTLY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM (IF ANY).

Indemnity

You will defend, indemnify, and hold harmless EProcure AI and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Site, except to the extent caused by our gross negligence or willful misconduct.

Suspension and termination

We may suspend or terminate access to the Site at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Changes to these terms

We may modify these Terms from time to time. We will post the updated Terms on this page and revise the "Last updated" date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules, unless a different governing law applies by mandatory local law. Courts in Delaware shall have exclusive jurisdiction over disputes arising from these Terms and the Site, subject to mandatory provisions where you reside.
